About these terms

Vitamin & Code is the public-facing brand of Vitamin Digital Media LLC (“we,” “us,” or “our”). These terms describe the use of our website and client portal, and the general framework for working with us.

Our services include website development, hosting, maintenance, integrations, and related technology services. A website inquiry starts a conversation; it does not by itself establish a project scope, price, delivery date, or service commitment.

Your project agreement

Signed proposals, statements of work, and service agreements set the terms of the particular engagement, including its scope, responsibilities, fees, deliverables, and any agreed support. Where a project-specific agreement conflicts with these general terms, that agreement governs the engagement.

Descriptions and pricing on our website provide general information. The services and commercial terms for your project are those agreed for that engagement. These general terms do not replace or expand those commitments.

Portal access & accounts

Portal accounts are provided by invitation to authorized client users. Use your own account, provide accurate information, protect your password, and tell us promptly if you suspect unauthorized access or if a user should no longer have access to your organization’s records.

Only act for a business if you are authorized to do so. Authorized users within a client organization can access its shared project, message, and billing information. Take this shared access into account when posting messages or uploading files.

Portal access can be removed when a member is no longer authorized or a client account is archived. Removing access does not itself cancel a service agreement, stop billing, or delete the organization’s records. Contact us to coordinate any of those changes.

Acceptable use

Use the website and portal lawfully and in connection with legitimate inquiries or agreed services. Do not:

  • Attempt to access another client’s information, impersonate someone, or bypass account or access controls.
  • Upload malware, interfere with the service, or use it to send spam, threats, or unlawful material.
  • Submit content that infringes someone else’s intellectual property, privacy, or other rights.
  • Use contact forms, messages, or uploads to transmit information you are not authorized to share.

Content you provide

You are responsible for having the rights and permissions needed to provide your text, images, files, business information, and other materials to us, including any personal information concerning other people.

By submitting materials for an inquiry or project, you authorize us to receive, store, review, reproduce, and otherwise process them to respond to you and provide the requested or agreed services, including through the providers needed for that work. This permission is limited to those purposes and does not transfer ownership of your materials.

Share only what is needed for the work. Arrange an appropriate method with us before sharing credentials or particularly sensitive information. Project-specific permissions and any additional restrictions are governed by your agreement.

Ownership & project work

The Vitamin & Code website’s branding, design, text, and other materials belong to Vitamin Digital Media LLC or their respective owners and licensors. Viewing the website does not transfer ownership or grant permission to reuse protected materials beyond applicable law or the owner’s permission.

Ownership and licensing of project deliverables, source code, designs, and other commissioned work are determined by the applicable project agreement. Third-party software, fonts, imagery, and other licensed materials remain subject to their own licenses. These general terms do not change a project’s intellectual-property arrangement.

Third parties, availability & support

Our services rely on third-party infrastructure and tools, including application hosting, authentication, file storage, email, payment processing, and other integrations. Those services can have their own terms, privacy practices, limits, and availability.

Maintenance, network problems, and third-party interruptions can affect access or delivery. Do not treat the website, portal, email notices, or SMS alerts as an emergency service or a guarantee of uninterrupted availability.

For assistance, use portal messaging or email kevin@vitamin.nyc. Support scope, response commitments, and any service levels are those stated in your service agreement.

Billing, cancellation & termination

Fees, payment schedules, and the services being purchased are set out in the applicable proposal, invoice, or service agreement. The portal supports invoice payments and configured monthly service subscriptions through Stripe-hosted checkout. Review the amount and any recurring billing details before completing checkout.

For a running monthly subscription, the portal’s cancellation action requests cancellation at the end of the current billing period. The portal displays the subscription status and available period-end information. Contact us if you need help with a cancellation or a billing discrepancy.

Canceling a portal subscription is a billing action; project termination, service handoff, any remaining amounts due, and any refund entitlement depend on the applicable agreement and law. These terms do not establish a separate refund policy or alter an agreed termination process.

SMS inquiry alerts

Program purpose

Vitamin & Code Website Inquiry Alerts sends branded SMS notifications to enrolled client business owners and authorized staff about contact-form submissions on their own business’s website. Alerts may include inquiry details needed to identify and respond to a submission.

Each inquiry goes only to that business’s designated, opted-in recipients. This program does not enroll website visitors, send marketing texts, or distribute inquiries to unrelated businesses.

Voluntary email enrollment

Enrollment is by direct email consent during onboarding. Each intended recipient receives the program disclosures, including links to these terms and the Privacy Policy, and must explicitly agree by email while confirming their mobile number. A business owner’s agreement does not enroll other staff members on their behalf. Alerts begin only after that written consent is received. Participation is optional. SMS consent is not required to purchase website services. Using the contact form, creating a portal account, or acknowledging general terms does not provide SMS consent.

Frequency, charges & delivery

Message frequency varies with website inquiries. Message and data rates may apply. Delivery depends on messaging providers, mobile networks, and your device; delivery is not guaranteed. Carriers are not liable for delayed or undelivered messages.

Unsubscribe & get help

Reply STOP to unsubscribe from SMS alerts. You will receive one opt-out confirmation, and no further alerts will be sent unless you opt in again.

Privacy

See our Privacy Policy and its SMS privacy section for how we handle mobile numbers, consent records, message content, delivery records, and opt-out records through Twilio and necessary providers. Mobile information is not sold or shared with third parties for their promotional or marketing purposes, and SMS opt-in data and consent are not shared with third parties for their own marketing.

Updates & questions

We may revise these terms as the website and services change. The “Last updated” date identifies the latest revision. Changes to this page do not by themselves amend a signed project agreement; changes to an engagement follow that agreement’s process.
